1. Agreement to Terms
By accessing or using Upmate's website and services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not access our services.
2. Our Services
Upmate provides video strategy, production, and marketing services for Tech, AI, and SaaS companies. Our services include but are not limited to:
- Product video creation and production
- Video marketing strategy and consultation
- Storyboarding and script development
- Performance analytics and optimization
- Graphics design support
3. Client Responsibilities
As a client of Upmate, you agree to:
- Provide accurate and complete information about your business and project requirements
- Respond to requests for feedback and approvals in a timely manner
- Ensure all materials provided to us do not infringe on third-party rights
- Make payments according to the agreed-upon schedule
4. Pricing and Payment
All pricing is outlined in the service agreement or proposal provided to you. Key terms include:
- Deposits: A non-refundable deposit may be required before work commences.
- Payment Schedule: Payments are due according to the milestones outlined in your service agreement.
- Late Payments: Overdue invoices may be subject to a late fee as specified in your agreement.
- Refunds: Refund eligibility is determined on a case-by-case basis as outlined in your service agreement.
5. Intellectual Property
Upon full payment, clients receive a license to use the deliverables for their intended purpose. Key details:
- Client Content: You retain ownership of all materials you provide to us (logos, brand assets, etc.).
- Deliverables: Ownership or licensing terms for completed work will be specified in your service agreement.
- Portfolio Rights: Upmate reserves the right to showcase completed work in our portfolio and case studies unless otherwise agreed.
6. Revisions and Approvals
The number of revision rounds included in your project is determined by your chosen plan. Additional revisions beyond the included rounds may incur extra charges. All revisions must be requested within 14 days of deliverable submission, unless otherwise stated in your agreement.
7. Limitation of Liability
To the fullest extent permitted by law, Upmate shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.
8. Termination
Either party may terminate the service agreement with written notice. In the event of termination, the client is responsible for payment for all work completed up to the date of termination. Any deposits paid are non-refundable. Upmate reserves the right to terminate services if the client breaches these terms.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of the service agreement.
10. Governing Law
These Terms of Service shall be governed by and construed in accordance with applicable laws. Any disputes arising from these terms shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration.
11. Changes to Terms
We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services constitutes acceptance of the updated terms.
